No, a community management company does not replace your Board of Directors. Our role is to provide professional guidance, assist with the day-to-day operations of the association, and ensure the Board is informed of applicable legal requirements and best practices. All decisions regarding the management and governance of the community remain with your elected Board of Directors.
All homeowner and property owners associations are governed by a set of recorded governing documents, commonly referred to as the Declaration of Covenants, Conditions, and Restrictions (CC&Rs), along with the association's bylaws, articles of incorporation, and rules and regulations. These documents establish the standards, responsibilities, and operational procedures for the community. State laws may also apply and, when applicable, will supersede provisions within the association's governing documents. In Texas, most property owners associations are governed by the Texas Property Code, including Chapter 209, which establishes many of the rights and responsibilities of both associations and property owners.
An HOA or POA Board of Directors is composed of deeded property owners within the community who have been elected by their fellow association members. These individuals serve as representatives of the community and are responsible for making decisions that protect the association's interests and enhance the quality of life for all residents.
No, the Board President does not have more voting authority than any other member of the Board of Directors. The President is one member of the Board and has the same voting rights as the other directors. Association decisions are made through a vote of the Board, with each director having an equal vote on matters brought before the Board for consideration.
The management company can assist with inspections, violation notices, hearings, and compliance tracking. Enforcement actions are taken at the direction of the Board and in accordance with the governing documents and applicable law.
